Organon & Co. is proceeding with its merger with Sun Pharmaceutical Holdings USA, Inc. A lawsuit was filed alleging incomplete disclosures in the definitive proxy statement, seeking to enjoin the stockholder vote. To avoid delays and litigation risks, Organon voluntarily supplemented the proxy statement, denying the claims' merit. The Board continues to evaluate strategic alternatives, including Sun Pharma's proposal, while considering execution risks associated with other options.

NextCure, Inc. announced a definitive merger agreement with Avere Therapeutics, Inc., under which Avere will become a wholly-owned subsidiary and its stockholders will own approximately 98.11% of the combined entity. The transaction includes a private placement financing for Avere, expected to raise at least $150 million, which is a condition for the merger's closing.

Jasper Therapeutics, Inc. acquired Kira Pharmaceuticals through a merger, issuing common and convertible preferred stock to Kira's shareholders. Concurrently, a private placement occurred, resulting in pre-transaction Jasper equityholders holding approximately 6.68% of the fully-diluted common stock, former Kira equityholders 49.86%, and new investors 43.46%. Additionally, pre-merger Jasper shareholders received Contingent Value Rights, entitling them to a pro rata portion of $30.0 million if briquilimab receives a Priority Review Voucher by December 31, 2028.

Xeris Biopharma Holdings, Inc. completed privately negotiated exchange transactions where certain noteholders exchanged approximately $23 million of 8.00% Convertible Senior Notes due 2028 for about 5.0 million shares of common stock and $23 million in cash. Separately, another holder converted $10.5 million of the same notes into approximately 3.6 million shares of common stock. Following these transactions, all 2028 Notes are no longer outstanding, effectively deleveraging the company and issuing equity in a private placement.

Cardiff Oncology, Inc. completed a private placement, raising approximately $10.05 million in gross proceeds. The offering involved the sale of common stock and accompanying warrants to institutional investors and certain officers and directors. The company intends to use the net proceeds for working capital and other general corporate purposes.

Jasper Therapeutics, Inc. announced the completion of an all-stock acquisition of Kira Pharmaceuticals, a company focused on complement therapies for immune-mediated diseases. Concurrently, Jasper entered into a securities purchase agreement for a private placement financing, raising gross proceeds of $132 million.

Inhibrx Biosciences, Inc. expanded its credit facility with Oxford Finance LLC to an aggregate principal amount of $500 million. The company secured an additional $325 million tranche, with $100 million funded immediately and the remaining $225 million available at the lenders' discretion. In connection with the initial funding, Inhibrx issued warrants to the lenders and pledged its equity securities in Poplar Therapeutics, Inc.
