Data License Agreement
This Data License Agreement (“Agreement”) governs your use of data products purchased from RxDataLab (“the Dataset”).
1. Grant of License
RxDataLab grants you a non-exclusive, non-transferable license to access and use the Dataset in accordance with this Agreement for the duration of your subscription term.
2. Permitted Uses
You may:
- Internal Business Use: Use the Dataset for internal research, analysis, forecasting, and commercial decision-making within your organization.
- Analytical Outputs: Create internal reports, summaries, models, visualizations, and other analyses derived from the Dataset.
- Internal Sharing: Share the Dataset and derived internal materials with employees of the licensed legal entity for internal purposes only.
3. Restrictions
You may not:
- Redistribute or Resell: Redistribute, resell, sublicense, publish, or otherwise make available the Dataset, in whole or in part, to any third party.
- Competing or Substitutive Use: Use the Dataset or any derivative thereof to create or support a product, service, or dataset that is substantially similar to, or a substitute for, the Dataset.
- External Data Products: Include the Dataset or any materially similar derivative in a commercial data product, API, database, or automated service offered to third parties.
- Machine Learning: Use the Dataset to train machine learning models, neural networks, or AI systems intended for external distribution or commercial sale to third parties.
- Reconstruction: Create derivatives that allow extraction, reconstruction, or re-identification of the Dataset or its underlying structure.
4. Attribution
If you publish public-facing analyses, reports, or visualizations derived from the Dataset (e.g., blog posts, white papers, or marketing materials), you must include the following attribution:
“Data provided by RxDataLab.com”
Attribution is not required for internal, confidential, or client-specific materials.
5. Data Sources
RxDataLab datasets are derived from public government and regulatory sources. RxDataLab has compiled, cleaned, harmonized, and enriched these sources using proprietary processes and internal algorithms. This Agreement applies to RxDataLab’s compiled and curated Dataset and does not grant rights to the underlying public-domain sources themselves.
6. Disclaimer of Warranties
The Dataset is provided “as is” and “as available,” without warranties of any kind, express or implied, including accuracy, completeness, fitness for a particular purpose, or non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law:
- RxDataLab shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Dataset.
- RxDataLab’s total liability under this Agreement shall not exceed the fees paid for the applicable Dataset.
8. Termination
This Agreement terminates automatically at the end of the subscription term or immediately upon breach of this Agreement. Upon termination, you must cease use of the Dataset and delete all copies in your possession or control.
9. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
